Bring Your Own Contractor (BYOC) Terms of Service

1. Definitions

  • BYOC: Service enabling client-nominated independent contractors to be onboarded, managed, and paid via Worca’s platform
  • Contractor: Individual engaged by Worca on the client’s behalf through BYOC
  • Client: Company or entity using BYOC services
  • Platform: Worca Teamspace—proprietary technology for time tracking, invoicing, HR policies, and payroll

2. Scope of Services

Worca provides:

  • EOR or legal agent services in contractor’s country
  • Monthly compensation, tax compliance, and statutory withholdings
  • Platform access for HR tools (time tracking, leave requests, performance management)
  • Consolidated monthly invoicing
  • Local currency payments
  • Support via Slack, WhatsApp, or email with 1-hour response during business hours

3. Client Obligations

Clients must:

  • Provide accurate contractor information and compensation details
  • Avoid directly engaging contractors outside this agreement without written consent
  • Ensure Worca authorization and contractor consent
  • Pay invoices within agreed terms
  • Worca manages employment contracts and payroll compliance
  • Contractors are not client employees
  • Clients retain day-to-day supervision and task assignment responsibilities

5. Fees and Invoicing

Service Fees

  • One-time/project payments: 5% of total contractor amount
  • Recurring engagements: $100 USD per contractor monthly

Invoicing

  • Monthly consolidated invoices issued at month’s beginning
  • Payment due within 7–10 calendar days unless otherwise agreed
  • Late payments may suspend services

Payment Methods

ACH, wire transfers, digital platforms (transfer fees included in pricing).

6. Confidentiality and Data Protection

Both parties maintain confidentiality. Worca processes data per applicable privacy laws and its Privacy Policy.

7. Termination

Either Party

Thirty (30) days’ prior written notice via email.

Client Responsibilities Upon Termination

  • Pay outstanding invoices and final month obligations
  • Provide formal offboarding requests per contractor

Worca’s Role

Initiate offboarding per local laws, provide final documentation.

Immediate Termination for Cause

Worca may terminate if client fails to pay (after 7-day cure period), engages in fraud, or attempts contractor circumvention.

8. Limitation of Liability

Worca’s liability shall be limited to the amount paid by Client for services in the three (3) months preceding the claim. No liability for indirect or consequential damages.

9. Indemnification

Clients indemnify Worca against claims arising from misrepresentations, legal non-compliance, or contract breaches.

10. Governing Law

California law governs; disputes resolved in Los Angeles County courts.

11. Miscellaneous

Agreement supersedes prior understandings. Modifications published via email/platform constitute acceptance through continued use. Unenforceable provisions don’t invalidate remainder.

12. Electronic Acceptance and Binding Effect

Checking acceptance box in Worca Teamspace creates legally binding agreement. Continued use after updates constitutes acceptance.
